Vendor Agreement Terms and Conditions
By accepting this purchase order and providing Continental Sausage, Inc. with raw materials, the supplier agrees to provide raw materials that meet the quality standards specified by Continental Sausage, Inc. In addition, all materials must comply with applicable regulations, laws, and certifications (collectively, the “Certifications”). Any deviations from the Certifications or defects in the materials must be reported immediately by supplier. Continental Sausage will inspect all items delivered and reject any non-conforming goods. Payment terms start from the date of receipt of goods. The supplier shall indemnify and hold Continental Sausage, Inc. harmless from any claims, damages, costs, expenses, and liabilities arising from or related to the supplied materials. An Annual Certificate of Insurance (COI) stating such, must be submitted annually. In no event shall Continental Sausage, Inc. be liable for any indirect, incidental, or consequential damages. In the event of a dispute, the prevailing party shall be entitled to recover reasonable professional costs including but not limited to attorney fees. In addition to these Terms and Conditions, the supplier shall be bound by all provisions contained in any other document executed between Continental Sausage, Inc. and supplier.
